Confidentiality
If the crew, the landlord, or a competitor learns too early, the thing you are selling starts to come apart. Discretion is not a slogan. It is the process.
Your people. They should hear it from you, on purpose, not from a rumor that a “consultant” toured on Tuesday.
Your customers and vendors. Terms get tighter when someone thinks you are leaving. That is not a closing problem. It is a this-week problem.
The company itself. A leaked sale is a distracted sale. Buyers smell it. Lenders smell it. The number moves the wrong way.
How a file is actually handled
Name
Industry, geography in general terms, and a sense of size. The name on the door is not in the first conversation with a buyer, and it is not on this website unless we both decide it can be.
Paper
A signed confidentiality agreement before the memorandum, the tax returns, or a walkthrough. No NDA, no file. We do not “start with a call and paper it later.”
Money
Proof of funds, a lender conversation, or a clear capital stack. A competitor with curiosity and a nice email is not a buyer.
Room
We do not blast a P&L to a buyer network to create activity. Activity without discretion is a leak. The list is short enough to remember.
Shop
After hours, or with a cover you have agreed to. No clipboards on a Thursday afternoon in front of the crew. No surprise visits.
People
Usually after a serious letter of intent, and always on your word. We plan the conversation with a manager. We do not improvise it in the parking lot.
Your company will not be a thumbnail on this site because the listings page looked empty. It will not be emailed to “our database.” It will not be described in enough detail that anyone in town can guess.
We will not introduce a buyer we have not screened. We will not send tax returns in the first reply to a contact form. We will not talk about your file in a way that is useful to a competitor.
Public advertising, when it happens, is a blind teaser: industry, region, a range. Florida treats business brokerage as real estate. We advertise like it.
The first note can be a name, a role (owner or buyer), and one line. That is enough to start.
Hold the customer list, the employee roster, the lease, and the returns until we have spoken. If we go further, we will tell you exactly what to send and how. A data room is a later room.
If you already have a buyer at the table, say so. We can work inside a small circle. We do not need to widen it.
